Mr. Richard Warke of 25022011 reports

EARLY WARNING REPORT PURSUANT TO NATIONAL INSTRUMENT 62-103 AND MULTILATERAL INSTRUMENT 62-104 RELATING TO THE PURCHASE OF 5,000,000 UNITS IN ARMOR MINERALS INC.

25022011 Ltd., on Oct. 7, 2015, acquired 2.5 million units of Armor Minerals Inc. at a price of 10 cents per unit through a private placement of Armor. Each unit comprises one common share and one common share purchase warrant, exercisable for one share at a price of 15 cents expiring on Oct. 7, 2020. As a result of this transaction, 25022011 increased its share ownership to 16,809,053 shares of Armor, representing 46.25 per cent of the issued and outstanding shares of Armor, and 16,809,053 warrants, representing 48.56 per cent of the issued and outstanding warrants of Armor.

Richard Warke beneficially holds 100 per cent of 25022011. As a result of the acquisition by 25022011 described above, Mr. Warke owns, indirectly, 16,809,053 common shares of Armor, representing 46.25 per cent of the current issued and outstanding shares of Armor, and would indirectly own 19,309,053 common shares, representing 46.70 per cent on a partially diluted basis, assuming the exercise of 2.5 million warrants.

25022011 acquired the securities for investment purposes and has no present intention to acquire further securities of Armor, although it may in the future acquire or dispose of securities of Armor through the market, privately or otherwise, as circumstances or market conditions warrant.
