The TSX Venture Exchange tumbled 15.58 points to 790.35 Tuesday. Joe Charland's halted capital pool shell, Damon Capital Corp. (DAM), plans to acquire Arizona Silver Corp. for the shell's qualifying transaction. Damon, which has 5,987,300 shares issued, will issue 5,587,710 shares to the target's shareholders. Arizona Silver, which was formed in 2011 as Kinyeti Minerals Corp., is a Vancouver company that owns the Ramsey silver project in La Paz county, Arizona.

Shell-maker Mr. Charland will be the only director of Damon to remain on the board after the QT closes. He will be joined by four more directors: Greg Hahn, Graham Scott, Mike Stark and Keturah Nathe. Mr. Hahn, a geological engineer, is the chairman and chief executive officer of Arizona Silver. Since March, 2011, he has also been the president of Nevada gold explorer Canamex Resources Corp. (CSQ: $0.045). Canamex peaked at 44 cents in July, 2012. Earlier in Mr. Hahn's career, from March, 1994, to June, 2007, he was the president of Utah copper explorer Summo Minerals Corp., later called Constellation Copper Corp. Constellation peaked at $3.02 in May, 2006. After Mr. Hahn resigned, Constellation crashed along with the rest of the market. It declared bankruptcy in December, 2008.
