The TSX Venture Exchange gained 3.77 points to 769.97 Friday but ended the week up only 3.61 points. Conrad Clemiss's shell, Apple Capital Inc., has closed its acquisition of Brazilian tech firm YDreams Brasil Servicos e Solucoes Interativas Ltda. The shell, which had but 2,543,032 issued shares, issued another 30 million shares to the target's shareholders. The resulting issuer, the gloriously named YDreams Global Interactive Technologies Inc. (YD: $0.38), listed today but did not trade.

As well as closing the acquisition, Apple Capital also closed a $1.8-million private placement of 12 million units at 15 cents. There were 78 placees, including some individual investors who bought between 25,000 and 150,000 units each. Mr. Clemiss himself acquired 146,667 units. One of the largest subscribers was Vancouver fund manager Matt Zabloski's Delbrook Capital Advisors Inc., which bought two million units. Including the 12 million shares from this private placement, plus shares issued to finders and creditors, YDreams Global now has 53,154,144 shares issued.
