The TSX Venture Exchange added a fraction to 519.17 Wednesday. Steve Bajic's halted NEX shell, Margaux Red Capital Inc. (MXC), has signed a definitive deal for its acquisition of a quantum random-number generator (QRNG) for $20,000 and four million shares. The QRNG, which is based on quantum physics principles, is supposedly more effective than most of the existing random-number generators, which are based on mathematical formulas. Random-number generation is used in data encryption and gaming, the idea being that no software can predict or guess which numbers constitute part of an encryption key or which numbers correspond to what a slot machine would display next. Typically QRNGs are slower and more expensive than math-based random-number generators.

Margaux will pay $20,000 to a Quebec partnership called Societe de commercialization des produits de la recherche applique SOCPRA-Sciences et Genie SEC (SOCPRA to its friends). SOCPRA is the manager of licensing and other deals involving the University of Sherbrooke's research output. Margaux's target QRNG was developed at the University of Sherbrooke by Prof. Bertrand Reulet, a quantum physicist. The shell will also grant SOCPRA a 5-per-cent royalty on future revenues from the QRNG. If it fails to commercialize the technology within three years, it must return all of the intellectual properties to SOCPRA. Margaux, which has 4,196,750 shares issued, will also issue one million shares each to SOCPRA, Prof. Reulet, and Montreal promoters Sebastien Plouffe and Michel Delisle. Mr. Plouffe was the president of Quebec strawberry grower Affinor Growers Inc. (AFI: $0.075) for two years until October, 2015. Affinor hopes to grow marijuana in Washington State. Mr. Delisle was the president of Cabia Goldhills Inc. from its formation in November, 2011, to its delisting from the NEX in April, 2015. Cabia was a gold explorer in Colombia that, like many resource companies, found it increasingly difficult to raise money.
