The TSX Venture Exchange fell 6.72 points to 965.79 Thursday. Peter Hinam's halted capital pool shell, Turquoise Capital Corp. (TQC), plans to acquire the 20-year right to use and sell a glorified burglar alarm system from Vigil Technologies Inc., a research and development tech company in Burnaby, as its qualifying transaction.

Turquoise will pay $500,000 cash and issue an undetermined number of shares on closing. The shell will pay for the cash portion by completing a minimum $1-million private placement of 10-cent shares. Vigil's wireless alarm products allow for real-time monitoring -- burglars, bears etc. -- of remote areas such as mining and oil and gas sites.

The three shareholders of the target are David Loban, with 66.85 per cent, Dr. Marcin Jan Marzencki, with 30.08 per cent, and Dr. Bozena Kaminska, with 3.06 per cent. Mr. Loban, a former British Army officer, will take over as chief executive officer following the QT. He has worked as a security consultant for various well-known companies. Dr. Marzencki specializes in microelectronics, ambient energy harvesting, and is a former instructor at Simon Fraser University. He is the chief technology officer at Vigil, where he has been for two years. Dr. Kaminska is a professor in the engineering department at Simon Fraser University and a director of Nanotech Security Corp. (NTS: $1.57), a research and development company that focuses on anti-counterfeiting technology.
