Warrants:  1,637,500 share purchase warrants to purchase 1,637,500 shares

Warrant initial exercise price:  10 cents

Warrant term to expiry:  three years

Number of placees:  nine placees

Insider:  Andrew H. Rees, 500,000 shares

Finder's fee:  Accilent Capital Management Ltd., $9,800 cash, 9,800 warrants

Finder warrant initial exercise price:  10 cents

Finder warrant term to expiry:  three years

Note that in certain circumstances the exchange may later extend the expiry date of the warrants if they are less than the maximum permitted term.
