The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Sept. 7, 2017.

Number of shares:  3,803,176 shares

Purchase price:  34 cents per share

Warrants:  1,901,588 share purchase warrants to purchase 1,941,588 shares

Warrant initial exercise price:  50 cents

Warrant term to expiry:  one year

Number of placees:  24 placees

Total pro group involvement:  760,000 (five placees)

Finder's fee:  Leede Jones Gable Inc., $39,508 cash and 116,200 warrants; Haywood Securities Inc., $9,520 cash and 28,000 warrants; Blackswan B.V., $23,800 cash and 70,000 warrants; Intrynsyc Capital Corp., $1,428 cash and 4,200 warrants

Finder's warrant initial exercise price:  34 cents

Finder's warrant term to expiry:  exercisable for 12 months from date of closing

Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
