UR-ENERGY ANNOUNCES $15 MILLION PRIVATE PLACEMENT

Ur-Energy Inc. has entered into an agreement with Dundee Securities Ltd. and ROTH Capital Partners LLC, under which the agents have agreed to sell on a best-efforts private-placement basis approximately 15 million common shares at a price of $1 per share for total gross proceeds of $15-million. The agents have been granted an option to sell up to an additional 15 per cent of the offering, exercisable in whole or in part at any time up to 48 hours before the closing date.

The closing date of the offering is scheduled on or about Feb. 23, 2012. All securities issued will be subject to a four-month hold period. The offering is subject to a number of conditions, including, without limitation, receipt of all regulatory approvals.

The net proceeds will be used for construction of Ur-Energy's Lost Creek uranium project in Wyoming, for possible acquisitions and for general corporate purposes.
