TOSCA RESOURCES ANNOUNCES PRIVATE PLACEMENT FINANCING

Tosca Resources Corp. has arranged a non-brokered private placement of up to three million units at a price of five cents per unit to raise gross proceeds of up to $150,000. Each unit consists of one common share and one-half non-transferable share purchase warrant, with each whole warrant entitling the holder to purchase one common share for a period of one year from closing at a price of 10 cents per share.

The company intends to utilize the proceeds of this private placement for general working capital purposes.

In addition, the company has entered into agreements with arm's-length third parties to complete shares-for-debt arrangements at five cents for up to $28,000 in outstanding payables.

The private placement and the shares-for-debt arrangements are subject to the acceptance of the TSX Venture Exchange.
