TARANIS RESOURCES INC. ANNOUNCES PRIVATE PLACEMENT AND DEBT SETTLEMENT

Taranis Resources Inc. has negotiated each of the following, subject to regulatory acceptance:

1. A $65,000 private placement consisting of the sale of 650,000 units at a price of 10 cents per unit, each unit to consist of one common share and one share purchase warrant, with each warrant to entitle the holder to purchase one additional common share at a price of 11 cents for a period of two years from closing;
2. Debt settlement agreements with various creditors, pursuant to which $58,560 of indebtedness is to be satisfied by the issuance of 585,600 common shares at a deemed price of 10 cents per share.
