The TSX Venture Exchange has consented to the amendment of the following convertible debenture of 3MV Energy Corp.

Convertible debenture:  $2-million

Amended convertible debenture terms:

Expiry date:  Feb. 21, 2016

All other terms of the debenture remains unchanged.

The debenture was issued pursuant to a private placement which was originally accepted for filing by the exchange effective Feb. 25, 2013.
