The TSX Venture Exchange has accepted for filing documentation in connection with an arrangement agreement dated May 30, 2014, between Tinka Resources Ltd. and Darwin Resources Corp. pursuant to which Tinka has agreed to acquire all of the issued and outstanding common shares of Darwin. Under the agreement the consideration payable by Tinka is 0.1818 of a Tinka common share for each one common share of Darwin held by Darwin shareholders.

The exchange has been advised that approval of the transaction by the Darwin shareholders was received at a special meeting of the shareholders held on July 11, 2014, and that approval of the transaction was received from the Supreme Court of British Columbia on July 18, 2014. Delisting:

In conjunction with the closing of the transaction, Darwin has requested that its common shares be delisted. Accordingly, effective at the close of business, Monday, July 28, 2014, the common shares of Darwin will be delisted from the exchange.
