The TSX Venture Exchange has accepted for filing documentation pertaining to an agreement dated Aug. 1, 2018, between Smartcool Systems Inc. and Damian Smith.

Pursuant to the agreement, the company acquired all of the issued and outstanding shares of Total Energy Concept Inc. for consideration of $150,000, as well as the issuance of 18 million common shares and five million non-transferable warrants of the company.

Mr. Smith is the sole shareholder of Total Energy.
