The TSX Venture Exchange has accepted for filing the company's proposal to issue a $650,000-principal-amount convertible promissory note to settle outstanding debt of $650,000.

Number of creditors:  one creditor

Convertible note:  $650,000 principal amount

Conversion price:  convertible into common shares at 50 cents of principal amount per share until maturity

Maturity date:  two years from issuance

Interest rate:  5 per cent per annum
