The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced March 2, 2018.

Convertible preferred shares:  three million preferred shares

Purchase price:  $1 per share

Conversion price:  Each preferred share is exchangeable into one common share at 45 cents until Nov. 30, 2019, and at 50 cents thereafter until Nov. 30, 2022

Maturity date:  May 31, 2023

Interest rate:  8 per cent per annum
