The TSX Venture Exchange has accepted for filing the company's proposal to issue 4,966,583 shares and 3,616,585 share purchase warrants to settle outstanding debt for $347,661.15.

Warrants:  3,616,585 share purchase warrants to purchase 3,616,585 shares

Warrant exercise price:  nine cents for a five-year period

Escrow shares:  4,016,585 shares subject to surplus escrow

The company shall issue a news release when the shares are issued and the debt extinguished.
