ROSCAN MINERALS ANNOUNCES INCREASE IN SIZE OF PRIVATE PLACEMENT AND DEBT SETTLEMENT
Roscan Minerals Corp. is increasing the size of its previously announced non-brokered private placement in the amount of $250,000 for aggregate gross proceeds of $500,000. The offering will now be up to 10 million units a price of five cents per unit.
Each unit will consist of one common share and one common share purchase warrant. Each warrant will entitle the holder thereof to purchase one additional common share at an exercise price of eight cents for 12 months from the date of issuance. The company reserves the right to accelerate the expiration of the warrants if, at any time, which is more than four months and one day following the closing date of the offering, the closing price of the company's common shares is 15 cents or more for at least 20 consecutive trading days. The company may pay finders' fees with respect to proceeds raised.
The company also announces that it intends to settle an aggregate of $243,000 of indebtedness owed to certain arm's-length and non-arm's-length creditors through the issuance of an aggregate of 4.86 million common shares of the company at a price of five cents per common share.
Closing of the offering and debt settlement is subject to receipt of all necessary corporate and regulatory approvals, including the approval of the NEX. All securities issued in connection with the offering will be subject to a hold period of four months plus a day from the date of issuance and the resale rules of applicable securities legislation.
The company intends to use the net proceeds from the offering to finance its initial exploration payment under an option and joint venture agreement with Pelangio Exploration Inc., for working capital purposes and otherwise in a manner consistent with the accomplishment of the company's business objectives.
