ROCKCLIFF ANNOUNCES CLOSING OF FINANCING

Rockcliff Resources Inc., further to its press release dated Dec. 31, 2014, has closed the final tranche of its private placement with the issuance of 366,667 working capital units for proceeds of $18,333.35. The company issued an aggregate of 4,550,667 WC units for total proceeds of $227,533.35 and 2,608,334 flow-through units for gross proceeds of $156,500.02, for a total of $384,033.37. The company paid finders' fees in the aggregate of $7,280 cash, and issued a total of 160,000 compensation options in respect of the sale of FT units and WC units.

All securities issued under this tranche are subject to a hold period expiring on May 24, 2015.
