Convertible debenture:  $2.4-million (U.S.) principal amount ($2-million (U.S.) of which is convertible into common shares)

Conversion price:  convertible into common shares at 40 U.S. cents per share until maturity

Maturity date:  Oct. 15, 2019

Interest rate:  5 per cent per annum
