The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Jan. 16, 2019.

Convertible debenture:  $143,750 (U.S.) principal amount ($125,000 (U.S.) of which is convertible into common shares)

Conversion price:  convertible into common shares at 48 U.S. cents per share until maturity

Warrants:  260,416 warrants, with each warrant being exercisable into one common share at a price of 48 U.S. cents for a period of four months plus one day

Maturity date:  four months plus one day

Interest rate:  10 per cent per annum

Number of placees:  one placee
