The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Aug. 17, 2018.

Convertible debenture:  $500,000 (U.S.) principal amount

Conversion price:  convertible into 581,394 common shares at 86 U.S. cents purchase price until maturity

Warrants:  581,000 warrants exercisable into one common share at 86 U.S. cents for a period of 12 months

Maturity date:  12 months from issuance

Interest rate:  10 per cent per annum

Number of placees:  two placees
