Convertible debenture:  $250,000 (U.S.) principal amount

Conversion price:  convertible into 287,356 common shares at 87 U.S. cents until maturity

Warrants:  287,356 warrants exercisable into one common share at 87 U.S. cents for a period of 12 months

Maturity date:  12 months from issuance

Interest rate:  10 per cent per annum

Number of placees:  one placee
