The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Aug. 17, 2018.

Number of shares:  4,054,049 shares

Purchase price:  74 U.S. cents per share

Warrants:  998,645 share purchase warrants to purchase 998,645 shares

Warrant exercise price:  94 U.S. cents for a period of two years (695,943 warrants); 95 U.S. cents for a period of two years (302,702 warrants)

Number of placees:  13 placees

Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
