Purchase price:  60 U.S. cents per share, 61 U.S. cents per share, 62 U.S. cents per share and 69 U.S. cents per share

Warrants:  6,329,080 share purchase warrants to purchase 6,329,080 shares

Warrant exercise price:  91 U.S. cents for a three-year period (six million warrants); $1.50 (U.S.) for a two-year period (329,080 warrants)
