Purchase price:  20 cents per share (flow-through and non-flow-through)

Warrants:  4,562,000 share purchase warrants to purchase 4,562,000 shares

Warrant exercise price:  20 cents for a two-year period

Number of placees:  18 placees

Insider:  George Patton, one million

Finder's fee:  A total of $26,000 payable to PI Financial Corp., GMP Securities LP and Canaccord Genuity Corp.
