The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Aug. 10, 2017.

Number of shares:  1.57 million shares

Purchase price:  five cents per share

Warrants:  1.57 million share purchase warrants to purchase 1.57 million shares

Warrant initial exercise price:  five cents

Warrant term to expiry:  five years

Number of placees:  nine placees

Finder's fee:  John Chalcraft, $1,000 cash

Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
