Number of shares:  1.34 million shares

Purchase price:  Five cents per share

Warrants:  1.34 million share purchase warrants to purchase 1.34 million shares

Warrant exercise price:  Five cents for a two-year period and 10 cents in the third year

Number of placees:  Three placees
