The TSX Venture Exchange has accepted for filing the documentation with respect to a brokered private placement announced on May 5, 2010.

Number of shares:  2,665,000 flow-through common shares

Purchase price:  50 cents per common share

Warrants:  1,332,500 warrants to purchase 2.35 million common shares

Warrant exercise price:  60 cents per share for a 24-month period following the closing of the private placement

Hidden placees:  24 hidden placees

Agents:  Northland Capital Partners Inc. (NCP) and Industrial Alliance Securities Inc. (IAS)

Finder:  Limited Market Dealer Inc. (LMD)

Agents' commission:  NCP and IAS both received $24,300 in cash, while LMD received $30,000 in cash as finder. Also, both NCP and IAS received 54,675 options each, whereas LMD received 90,000 options. Each option entitles the holder to purchase one common share at a price of 50 cents per share until July 2, 2012.

The company has confirmed the closing of the above-mentioned private placement via a news release dated June 30, 2010.
