The TSX Venture Exchange has accepted for filing the documentation with respect to a non-brokered private placement announced on July 15, 2014.

Number of shares:  2,830,100 common shares

Purchase price:  Five cents per share

Warrants:  2,830,100 warrants to purchase 2,830,100 common shares

Warrant exercise price:  Five cents per share until Aug. 19, 2017

Number of placees:  Six placees

Finder's fee:  Haywood Securities Inc. received $2,000 in cash and 40,000 non-transferable warrants. Each broker warrant allows its holder to purchase one common share at the exercise price of five cents per share until Aug. 19, 2017.

The company has announced the closing of the private placement by way of a news release dated Aug. 19, 2014.
