Mr. John Tognetti reports

John Tognetti of 700, 200 Burrard St., Vancouver, B.C., has acquired ownership of 12 million units of Millrock Resources Inc., each unit consisting of one common share in the capital of the issuer and one share purchase warrant, each warrant entitling the purchase of one common share in the capital of the issuer at a per-share price of seven cents for a period of two years following issuance of the warrants, and thereafter at a per-share price of 10 cents for a further period of three years. The common shares acquired represent approximately 6.15 per cent of the issuer's issued and outstanding common shares and, assuming exercise of the warrants, a total of 24 million common shares or approximately 11.59 per cent of the issuer's issued and outstanding common shares on a postconversion beneficial ownership basis.

The units were acquired by cash subscription for investment purposes by Mr. Tognetti pursuant to a non-brokered private placement offering by the issuer. Mr. Tognetti intends to evaluate these holdings and to increase or decrease the investment as circumstances warrant.
