The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Dec. 11, 2014.

Number of shares:  Two million shares

Purchase price:  10 cents per share

Warrants:  Two million share purchase warrants to purchase two million shares

Warrant exercise price:  13 cents for a two-year period

Number of placees:  Three placees

Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
