The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement for Miraculins Inc. announced Nov. 28, 2014:

Number of shares:  16.5 million shares

Purchase price:  eight cents per share

Warrants:  16.5 million share purchase warrants to purchase 16.5 million shares

Warrant exercise price:  10.5 cents for a two-year period

Placees:  12

Finder's fee:  $132,000 in cash and 1.65 million finders' warrants payable to Foremost Capital Corp.; each finder's warrant entitles the holder to acquire one common share at 10.5 cents for a two-year period

Note that in certain circumstances the exchange may later extend the expiry date of the warrants if they are less than the maximum permitted term.
