MBMI SIGNS CONFIRMS TRANSFER OF PROPERTIES

MBMI Resources Inc. has executed an instrument with DMCI Mining Corp. dated Oct. 14, 2014, confirming that the sale and transfer of 100 per cent of the shares owned or held by MBMI in Madridejos Mining Corp., Patricia Louise Mining Corp. and Sara Marie Mining Corp. pursuant to the deeds of assignment between DMCI and MBMI executed on Oct. 18, 2012, are final and took full effect as of the date of the execution of the corresponding deeds of assignment.

MBMI also announces that, in furtherance of the completion of the transaction disclosed in its press release dated March 24, 2014, it has also executed an instrument with DMCI dated Oct. 14, 2014, confirming that the sale and transfer of 100 per cent of the shares owned by MBMI in Tesoro Mining Corp., Narra Nickel Mining Corp. and McArthur Mining Corp. pursuant to the deeds of assignment executed on March 21, 2014, are final and took full effect as of the date of the execution of the corresponding deeds of assignment.

The instruments confirming these transfers were executed so as to confirm that DMCI is currently vested with the authority and control over the affected companies as flows from its position as shareholder.
