Purchase price:  10 cents per share

Warrants:  two million share purchase warrants to purchase two million shares

Warrant initial exercise price:  15 cents

Warrant term to expiry:  three years

Number of placees:  13 placees

Insiders:  Borys Chabursky, 100,000; Bruce Durham, 100,000; Norvista Capital Corp. (Donald Christie), 375,000

Total pro group involvement:  250,000 (one placee)

Finders' fees:  IBK Capital Corp., $28,000 cash and 280,000 warrants; Canaccord Genuity Corp., $400 cash and 4,000 warrants; Haywood Securities Inc., $36,000 cash and 3,600 warrants

Finder's warrant initial exercise price:  10 cents

Finder's warrant term to expiry:  three years (exercise price at 10 cents per unit)
