Purchase price:  10 cents per share

Warrants:  3,493,598 share purchase warrants to purchase 3,493,598 shares

Warrant exercise price:  10 cents for a four-year period

Number of placees:  Eight placees

Insider:  SHI Ventures Inc. (Borys Chabursky), 1,575,996

Agents' fees:  A total of $27,948 in cash and 279,488 broker warrants payable to IBK Capital Corp. and Caldwell Securities Ltd. (Each broker warrant entitles the holder to acquire one unit at 10 cents for a four-year period.)

Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
