The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced April 28, 2015, and June 4, 2015.

Number of shares:  32 million shares

Purchase price:  10 cents per share

Warrants:  32 million share purchase warrants to purchase 32 million shares

Warrant exercise price:  10 cents for a four-year period

Number of placees:  32 placees

Insiders:  Christopher Frostad, one million; 2254970 Ontario Ltd. (Janet O'Donnell), 586,800; Darren Marinus, 2,602,170; SHI Ventures Inc. (Borys Chabursky), two million; Lisa Arbuckle, 1.6 million; Norvista Capital Corp. (TSX Venture Exchange listed), 6.75 million

Total pro group involvement:  200,000 (one placee)

Agents' fees:  A total of $155,159 in cash and 1,551,587 broker warrants payable to IBK Capital Corp. and CIBC Wood Gundy (Each broker warrant entitles the holder to acquire one unit at 10 cents for a four-year period.)

Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
