Flow-through (FT) shares

Warrants:  2,583,333 share purchase warrants to purchase 2,583,333 shares

Warrant initial exercise price:  20 cents

Warrant term to expiry:  18 months

Non-flow-through (NFT) shares

Number of NFT shares:  7.8 million non-flow-through shares

Purchase price:  10 cents per non-flow-through share

Warrants:  3.9 million share purchase warrants to purchase 3.9 million shares

Warrant initial exercise price:  20 cents

Warrant term to expiry:  18 months

Number of placees:  10 placees

Finders' fees:  Leede Jones Gable Inc., $30,000 cash and 300,000 warrants; Canaccord Genuity Corp., $2,250 cash and 22,500 warrants; Belgravia Capital International Inc., $15,750 cash and 157,500 warrants

Finder's warrant initial exercise price:  20 cents

Finder's warrant term to expiry:  18 months
