The TSX Venture Exchange has accepted for filing documentation with respect to non-brokered private placements announced July 27, 2016, and Aug. 26, 2016.

Purchase price:  10 cents per share

Warrants:  100 million share purchase warrants to purchase 100 million shares

Warrant exercise price:  13.5 cents for a two-year period

Number of placees:  151 placees

Finders' fees:  An aggregate of $450,030 in cash payable to Arlington Group Asset Management Ltd., Sprott Global Resource Investments Ltd., Sprott Private Wealth LP, PI Financial Corp., CRG Finance AG, Echelon Wealth Partners Inc. and David O'Brien

Insider:  Osisko Mining Inc., seven million

Total pro group involvement:  100,000 (one placee)

Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
