Non-flow-through (NFT) shares

Number of NFT shares:  3,115,000 non-flow-through shares

Purchase price:  10 cents per non-flow-through share

Warrants:  3,115,000 share purchase warrants to purchase 3,115,000 shares

Warrant initial exercise price:  15 cents

Warrant term to expiry:  two years

Number of placees:  16 placees

Insiders:  Kevin Bottomley, 50,000; Jody Bellefleur, 50,000

Total pro group involvement:  180,000 (two placees)

Finder's fee:  Leede Jones Gable Inc., $6,000 cash; Echelon Wealth Partners Inc., $800 cash

The company issued news releases on July 14, 2017, and Aug. 30, 2017, confirming the closing of the private placement. Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
