Purchase price:  five cents per share

Warrants:  2.05 million share purchase warrants to purchase 2.05 million shares

Warrant exercise price:  10 cents for a two-year period

Number of placees:  eight placees

Pro group:  Chaun Chin, 250,000

Total pro group involvement:  one placee

Finder's fee:  $4,000 cash and 80,000 warrants exercisable at 10 cents for 24 months, payable to PI Financial Corp.
