The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced May 19, 2015.

Convertible debenture:  $250,000

Conversion price:  Convertible into 4,555,4555 shares at a conversion price of 5.5 cents

Maturity date:  Three years from date of issuance

Warrants:  1.25 million warrants issued to subscribers (Each warrant will have a term of four years from the date of issuance of the debentures and entitle the holder to purchase one common share. The warrants are exercisable at the price of 7.5 cents in the first year of exercise, and at 10 cents in the second, third and fourth year of exercise.)

Interest rate:  10 per cent per year, with up to 50 per cent to be settled by way of share issuance (Any such share issuance will be subject to the prior approval of the exchange.)

Number of placees:  Seven placees

Insider:  Peter Espig, $20,000

The company issued a news release on May 20, 2015, confirming closing of the private placement.
