The TSX Venture Exchange has accepted for filing documentation in connection with a buy-down agreement between Gold Standard Ventures Corp. (GSV), Clover Nevada LLC and, among others, Madison Enterprises (Nevada) Inc., an affiliate of Battle Mountain Gold Inc. (collectively BMG), whereby GSV has agreed to advance $1.85-million (U.S.) to BMG to finance an initial buy-down of Clover's royalty on gold and silver over BMG's Lewis gold project located in Lander county, Nevada, from 5 per cent to 3.5 per cent and convert the royalty from a gross royalty to a net smelter returns royalty. This initial payment will be financed through $925,000 (U.S.) in cash and the issuance of 532,864 common shares of GSV at a deemed price of $1.7359 (U.S.) ($2.21 (Canadian)) per share to be paid directly to Clover on behalf of BMG. Clover has the right to receive additional true-up shares pursuant to the buy-down agreement (up to a maximum of 94,000 common shares).
