The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Dec. 22, 2014.

Number of units:  5,952,310 units (Each unit consists of one common share issued on a flow-through (FT) basis and one-half of one common share purchase warrant.)

Purchase price:  21 cents per FT unit

Warrants:  2,976,155 share purchase warrants to purchase 2,976,155 shares

Warrant exercise price:  30 cents for a period of 18 months from date of issuance

Number of placees:  Three placees

Finder's fee:  $87,499 cash payable to Secutor Capital Management
