Purchase price:  five cents per share and five cents per share

Warrants:  2,134,180 share purchase warrants to purchase 2,134,180 shares and 5.25 million share purchase warrants to purchase 5.25 million shares

Warrant exercise price:  seven cents for an 18-month period and five cents for a three-year period

Number of placees:  11 placees

Insiders:  Alan Shefsky, three million; John Wilkinson, 486,000; Richard Cooper, 190,000; T.R.L. Investments Ltd. (Richard Cooper), 500,000; Peter Dimmell, 178,000; Martin Cooper, 800,000
