Number of shares:  8,012,200 shares

Purchase price:  Five cents per share

Warrants:  8,012,200 share purchase warrants to purchase 8,012,200 shares

Warrant exercise price:  Seven cents for a three-year period

Number of placees:  23 placees

Insiders:  Martin Cooper, 200,000; Toril Holdings Ltd. (Richard Cooper), 500,000; Steven Rukavina, 250,000; Alan Shefsky, 500,000; John Wilkinson, 77,780; Janis Peleshok, 142,420

Total pro group involvement:  500,000 (one placee)

Finder's fee:  $1,400 in cash and 28,000 finder's warrants, payable to Arnold H. Rossen (Each finder's warrant entitles the holder to acquire one common share at five cents for a one-year period.)
