ENBRIDGE INCOME FUND HOLDINGS INC. TO HOLD A SPECIAL MEETING OF SHAREHOLDERS ON NOVEMBER 6

Enbridge Income Fund Holdings Inc. will hold a special meeting of shareholders on Nov. 6, 2018, in Calgary, Alta. At the special meeting, shareholders will be asked to vote on a proposal from Enbridge Inc. to acquire all of the outstanding Enbridge Income Fund shares not already owned by Enbridge, resulting in Enbridge Income Fund becoming a wholly owned subsidiary of Enbridge.

Special meeting of shareholders

When:  Nov. 6, 2018, 10 a.m. Mountain Time (12 p.m. Eastern Time)

Where:  Metropolitan Conference Centre 333 4th Ave. S.W., Lecture Theatre, Calgary, Alta.

Two leading independent proxy advisory firms, Glass, Lewis & Co. LLC and Institutional Shareholder Services Inc., have both recommended that Enbridge Income Fund shareholders vote in favour of the proposed arrangement.

Shareholders of record as of the close of business on Oct. 5, 2018, will be entitled to vote at the special meeting. The company encourages shareholders to vote as soon as possible and no later than 10 a.m. Calgary time on Friday, Nov. 2, 2018, to ensure their votes are counted. Copies of the notice of special meeting, the management information circular and related documents are available on the company's website and have been filed under Enbridge Income Fund's profile on SEDAR.

Shareholders who have questions or require assistance in voting their proxy may direct their inquiry to the proxy solicitation agent, D.F. King Canada, by calling toll-free in North America at 1-866-521-4425 (1-212-771-1133 by collect call) or by e-mail.

Enbridge will host a live audio webcast of the special meeting on Nov. 6, 2018, at 10 a.m. Mountain Time (12 p.m. Eastern Time). Tax election

The proposed arrangement has been structured to provide Canadian Enbridge Income Fund shareholders with an automatic tax deferral with respect to their share consideration or they can elect to file a Section 85 election to obtain a full tax deferral, on the share consideration and the cash component. It is not expected that the incremental gain that could be deferred by filing a Section 85 election will be significant for most Canadian Enbridge Income Fund shareholders. Eligible Canadian resident registered Enbridge Income Fund shareholders who wish to make an election under Section 85 of the Income Tax Act (Canada) in connection with the proposed arrangement must complete, sign and return the letter of transmittal indicating that they wish to make such an election, along with the share certificate(s) representing their Enbridge Income Fund shares to AST Trust Company (Canada) prior to 5 p.m. Calgary time on Nov. 6, 2018.

Beneficial Enbridge Income Fund shareholders that do not have their Enbridge Income Fund shares registered in their name (rather, such Enbridge Income Fund shares are registered in the name of a broker or other intermediary) should contact their broker or other intermediary for instructions and assistance regarding the timing of, and their eligibility to make, the Section 85 election in respect of their Enbridge Income Fund shares. Every broker and other intermediary has its own procedures with respect to the Section 85 election and may have a deadline that is earlier than the election deadline.
