Warrants exercise price:  $1.25 during a period of 24 months following the closing date

Intermediaries' fees:  Windermere Capital (Canada) Inc., National Bank Financial Inc. and Wells Fargo Securities Canada Ltd. collectively received $497,750 in cash and 447,750 non-transferable warrants, each entitling the holder to purchase one common share at a price of $1 per share during a period of 24 months following closing.
