The TSX Venture Exchange has accepted for filing Calico Resources Corp.'s proposal to issue 2,526,144 shares and 833,333 share purchase warrants to settle outstanding debt for $303,137.30.

Insider:  Seabridge Gold Inc. $103,137.30 owing; 859,477 shares at 12 cents

Warrants:  833,333 share purchase warrants to purchase 833,333 shares

Exercise price:  15 cents for a one-year period

The company shall issue a news release when the shares are issued and the debt extinguished.
