The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement.

Shares:  1,865,000 flow-through common shares and 466,250 common shares

Price:  eight cents

Warrants:  1,165,625 common share purchase warrants to purchase 1,165,625 common shares

Exercise price:  15 cents per common share for an 18-month period following the closing of the private placement

Placees:  11

Pro group involvement:  250,000 shares (one placee)

Finders' fees:  Raymond James Ltd., Sherbrooke Street Capital Inc. and NBCN Inc. collectively received $14,920 in cash and 186,500 non-transferable compensation options to purchase 186,500 common shares at an exercise price of 15 cents per share during a period of 18 months following the closing date.

The company has announced the closing of the private placement pursuant to a news release dated Dec. 22, 2014.
