The TSX Venture Exchange has accepted for filing documentation in relation to a sales and distribution agreement dated Feb. 22, 2019, between Hill Street Beverage Company Inc. and Lifford Cannabis Solutions Inc., whereby the company retained the vendor to act as its sales and distribution agent for the company for cannabis-infused beverages. The vendor's sales team will be responsible for maximizing the number of locations where the company's cannabis-infused beverage portfolio is sold and ensuring the company's products are prominently featured in government-owned and independent dispensaries across Canada. As partial consideration to the vendor, the company will issue $100,000 worth of common shares at a deemed price per share equal to 19.21 cents, which the parties have determined to be equal to the 10-day volume-weighted average price of the common shares as of Feb. 22, 2019.
